These Terms of Service ("Terms") govern your access to and use of the dripBot platform, operated by webMonx Solutions LLP (a limited liability partnership registered in India, LLPIN ACR-1536) ("webMonx", "we", "our", "us"). dripBot is a product of webMonx Solutions LLP. By creating an account or using dripBot, you ("Client", "you") agree to these Terms.

1. Service Description

dripBot is a WhatsApp Business Solution platform that enables businesses to send and receive WhatsApp messages at scale through Meta\'s official WhatsApp Business Cloud API. dripBot provides a dashboard, campaign builder, automation flow builder, shared team inbox, REST API, signed webhooks, and supporting infrastructure to make business messaging on WhatsApp practical for Indian businesses. webMonx Solutions LLP operates dripBot as a Tech Provider / Business Solution Provider.

2. Meta and WhatsApp Policies (Incorporated by Reference)

Your use of dripBot is subject to Meta\'s policies. In addition to these Terms, you agree to comply with:

Failure to comply with Meta\'s policies may result in suspension of your dripBot account, suspension of your WhatsApp Business Account by Meta, and other consequences described in these Terms.

3. Our Role as Third Party Service Provider

For data that flows through the WhatsApp Business Solution (contact data, message content, templates), webMonx Solutions LLP acts as a Third Party Service Provider (TPSP) and data processor, processing such data on your behalf, under your authorization and instruction, solely to provide the dripBot service. The Client remains the data controller and is responsible for the lawful basis, accuracy, and use of such data, as well as for the underlying customer relationships.

4. Account Registration and Eligibility

To use dripBot you must be at least 18 years old, authorized to bind the business you represent, and provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@dripbot.in if you suspect unauthorized access. You agree to keep your business information accurate and current.

5. Opt-In and Consent Requirement

You may use dripBot to send WhatsApp messages only to recipients who have given valid opt-in consent in accordance with Meta\'s WhatsApp Business Messaging Policy and applicable law (including India\'s DPDP Act, TCCCP regulations, and international rules where applicable). You must:

9. Subscription, Fees, and Meta Charges

dripBot is offered on a monthly subscription basis. By subscribing, you authorize us to charge the applicable fees to your payment method through our payment processor, Razorpay. Subscription fees are billed in advance in INR. Indian GST at 18% applies on top of the subscription fee.

Meta\'s WhatsApp Cloud API message charges are separate from our subscription. As of 1 July 2025, Meta bills per delivered template message (the older per-conversation model has been retired), with rates by category and recipient country. These charges are billed by Meta directly or may be passed through, depending on your billing configuration. webMonx Solutions LLP does not add a per-message markup and does not control Meta\'s message rates. 10. Free Trial

New accounts receive a free trial as described on our pricing page. No credit card is required to start a trial. If you choose to continue after the trial, you will need to provide payment information and select a paid plan. Trial accounts have the same features as paid accounts, subject to plan limits.

11. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Your subscription remains active until the end of the current billing period. We do not provide prorated refunds for cancellations mid-period unless required by applicable law. See our Refund Policy for full details.

12. Data Ownership

You retain ownership of all data you upload to or generate through dripBot, including contact lists, message content, and templates. By using dripBot, you grant webMonx Solutions LLP a limited license to process such data solely to provide the service to you, as described in our Privacy Policy.

13. Data Processing Addendum

A separate Data Processing Addendum (DPA) is available on request for clients that require written data-processing commitments (for example, to comply with DPDP, GDPR, or internal procurement policies). The DPA forms part of these Terms when executed. Request a copy by writing to support@dripbot.in.

14. Intellectual Property

dripBot and its underlying technology, design, documentation, and content (including the dripBot name and logo) are owned by webMonx Solutions LLP and protected by applicable intellectual property laws. Nothing in these Terms grants you any right in our intellectual property other than the limited right to use dripBot in accordance with these Terms.

15. Suspension and Termination

We may suspend or terminate your account, without prior notice where reasonable, if you violate these Terms, Meta\'s policies, or applicable law; if your use poses a security or quality risk; or if Meta suspends or revokes your WhatsApp Business Account. Where practical we will provide notice and an opportunity to cure. You may terminate your account at any time by contacting support. Sections that by their nature should survive termination (including IP, limitation of liability, indemnification, governing law) will survive.

16. Service Availability

We aim to maintain high availability but do not guarantee 100% uptime. We may perform scheduled maintenance with reasonable advance notice. We are not liable for service interruptions caused by Meta\'s WhatsApp API, internet infrastructure, force majeure events, or other circumstances outside our reasonable control.

dripBot is provided "as is" and "as available" without warranties of any kind, whether express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service will be uninterrupted, error-free, or secure. We do not warrant that messages will be delivered, that Meta will approve your templates, or that any specific business outcome will result from using dripBot.

18. Limitation of Liability

To the maximum extent permitted by applicable law, neither webMonx Solutions LLP nor its partners, officers, employees, or contractors shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, whether incurred directly or indirectly, arising out of or in connection with these Terms or your use of dripBot.

Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total amount you paid to webMonx Solutions LLP for dripBot in the three (3) months immediately preceding the event giving rise to the claim.

19. Indemnification

You agree to defend, indemnify, and hold harmless webMonx Solutions LLP, its partners, officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of dripBot in violation of these Terms or Meta\'s policies; (b) messages or content you send through dripBot; (c) your failure to obtain or honor end-user consent; (d) infringement of any third-party right by your content or use; or (e) your violation of applicable law.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

21. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the dripBot dashboard at least 14 days before they take effect. Continued use of dripBot after the effective date constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page indicates the most recent revision.
